What is the structure of ORBITS?

Each series of ORBITS will be quoted as a warrant under Section 10 of the ASX Market Rules and are classed as a security under the Corporations Act. ORBITS are structured as a deferred purchase agreement. Under a deferred purchase agreement, investors agree to purchase a number of Deliverable Securities (i.e. the Deliverable Parcel) on Expiry. The purchase price of the Deliverable Parcel is equal to $1.00 per ORBITS and is payable by Investors on or before the Offer Close Date. Each Investor will receive (i) the Deliverable Securities in the Deliverable Parcel on or before the Physical Settlement Date with a Market Value equal to $1.00 per ORBITS on the Expiry Date; or (ii) in the case of the occurrence of a Downside Protection Event or a Coupon Barrier Event, payment of the Cash Settlement Amount equal to $1.00 per ORBITS on the Cash Settlement Date (refer 'Terms of Issue, Nominee Deed and Share Sale Facility' page 60).
