Question

Given that ORBITS are capital guaranteed, what will Investors receive upon Expiry on the Physical Settlement Date?

AnswerRating

In respect of each series of ORBITS on the Expiry Date, Investors will be entitled to receive the Deliverable Parcel by the Physical Settlement Date. The Deliverable Parcel means an amount of Deliverable Securities with a Market Value equal to the Investor's Investment Amount on the Expiry Date. The Deliverable Securities will include only the ordinary securities of any 10 of the top 30 companies, by market capitalisation, listed on ASX, selected by the Issuer in its sole and absolute discretion.

The amount of each type of Deliverable Security delivered to each Investor

=
(Investment Amount x Percentage of Investment Amount allocated to this type of Deliverable Security) / Market Price of such Deliverable Security

Where:

An Investor's Investment Amount is equal to the Issue Price multiplied by the total number of ORBITS held by that investor.

Percentage of Investment Amount allocated to each type of Deliverable Security will be determined by the Issuer in its discretion. The Issuer will inform Investors of the percentage of the Investment Amount allocated to each type of Deliverable Security in the Expiry Notice.

Market Price, in respect of each Deliverable Security, means:

    (a) the arithmetic average of the Volume Weighted Average Prices of the Deliverable Security for the 2 Trading Days up to and including the Expiry Date; or

    (b) if the Issuer determines, in its sole and absolute discretion, that the price under paragraph (a) cannot be determined, then the Market Price shall be the price determined by the Issuer as the good faith estimate of the price that would have prevailed under paragraph (a).

For illustrative purposes only, we assume an investor holds 5,000 International Growth and the Market Prices of the quoted ordinary securities of any 10 entities selected by the Issuer to be included in the Deliverable Parcel on the Expiry Date are as follows:

Selected Stocks Market Price (i.e. the arithmetic average of the VWAPS on the Trading Day immediately preceding the Expiry Date and the Expiry Date)
Entity 1 $5.00
Entity 2 $4.80
Entity 3 $4.60
Entity 4 $4.40
Entity 5 $4.20
Entity 6 $4.00
Entity 7 $3.80
Entity 8 $3.60
Entity 9 $3.40
Entity 10 $3.20

The Issuer may determine, in its sole and absolute discretion, the portion of each of the Selected Stocks in the Deliverable Parcel to be delivered. For example, the Issuer may deliver the Deliverable Parcel comprising:

    (a) 121 securities in each of the Selected Stocks respectively with aggregated Market Prices of $4,961, with the fractional Deliverable Securities (about 0.95 Deliverable Security in each Selected Stock) in an amount of $39 to be delivered in cash; or

    (b) 140 securities in Entity 6 together with 120 securities in each of the other Selected Stocks.
